Purpose
These terms and conditions govern the web development, SEO, GEO and automation services provided by MR CODE.
Quotes and orders
Every service is subject to a personalized quote, accepted by the client before work begins.
Payment terms
Payment terms (deposit, instalments) are set out in each quote. Prices are shown in euros and are net of tax: VAT not applicable, French Tax Code article 293 B (« TVA non applicable, article 293 B du CGI »).
Delivery
Delivery timelines are estimated in the quote and may vary depending on the availability of content provided by the client.
Late payment
In accordance with articles L.441-10 and D.441-5 of the French Commercial Code, any late payment automatically triggers late-payment interest calculated at the rate applied by the European Central Bank to its most recent refinancing operation, increased by 10 percentage points, together with a fixed recovery-cost indemnity of €40 per invoice. This interest is due without any reminder being required.
Governing law and disputes
These terms are governed by French law. In the event of a dispute, the parties will seek an amicable settlement before any legal action. Failing agreement, the dispute will be brought before the competent courts of Lyon for business clients; for consumer clients, the statutory rules of territorial jurisdiction apply.
